There are no greater indicators of economic wellbeing than population changes, life expectancy changes and crime levels. On all of those California is in decline. However, of particular damage would be the entertainment industry in California as a result of two strikes and a potential third on the way. Trades are now calling it a financial depression there... and the trades operate as the de facto narrative mouthpieces of the industry. They're in trouble.

His compensation package if he completes his contract is insane and he stays on for many years as a highly-paid consultant with almost no actual work required. All of that goes down the drain if he leaves over Peltz.

This can sway other board members when Peltz is able to attach likely financial outcomes that fail to match Iger's narratives. There are also issues of Peltz being able to see behind the curtain, as well as the chance that he would impact succession plans.

Where Peltz would have impact would be in having his vast Trian research and marketing teams look at DEI impacts on box office returns and use that to pressure the rest of the board (and the C-Suite) via research analysis comps and the threat of fiduciary responsibility complaints.

At that time, it wasn't publicly known yet that ISS was going to endorse Peltz. Now we can easily speculate that Disney was attempting to blunt the ISS endorsement with Lucas and Jobs. And that's about as scared as you're going to see Disney acting. However -- if Peltz sticks around for another year, I really don't see any way that Iger can block him any longer. Peltz would be able to throw a wrench in a political / partisan successor... and that is what Iger fears the most.

More specifically, would he have enough power to request/demand changes to details in individual movies, or just enough describe on a large scale what types of movies Disney can and can't make? For example, that could be the difference between sneaking some agenda material into an otherwise decent movie vs. something like The Marvels getting made at all. Maybe we can have a good Disney movie in a few years...?

2024-03-25 23:30:50 +0000 UTCRegarding the notion of Iger being scared. Is that pure speculation on your part or are you hearing that as a possibility from some of your sources? The reason I ask is that Mexican Ironman shot down that idea when you brought it up to him in another video. I don't remember exactly what he said in response but his thinking seemed to be that Iger was petty and he was out for revenge against his enemies. As an outsider, both scenarios are equally plausible to me. However, if Iger actually is scared, it does indicate that the board seats could be in jeopardy. Thanks, Pro!

If Disney actually was one, rather than an agenda driven one, he might not feel the need to be involved. One question: is the depression in Hollywood just affecting the industry or is it a regional economic one? One suggestion: Perhaps you all could smuggle MIM into the shareholder meeting as ALF? He loves him, right? Or if all else fails, send Wilton.

2024-03-25 16:21:10 +0000 UTCWith all the advertisements, recommendations, and accolades of Iger’s track record, it sounds to me like Bob Iger will quit if Peltz is allowed on the board. “Bob Iger is wonderful and it would be a shame to lose him if Trian and ACTIVIST INVESTOR Peltz were allowed to win.”

I always enjoy the panels you put together. 1-2 board members will not change the entire company, so why exactly do you think Iger and friends are fighting so hard as if their very future depends on it? Why are they treating 1-2 non-Iger approved voices on the board as such an existential threat?
